1. Coverage
1.1 Individual and Commercial Subscribers
These Terms apply to you as an individual subscriber or, if you register on behalf of a business entity, to all employees, agents, or customers who access the Services via your account. You are responsible for ensuring that any person using your account follows these Terms. Any violation by persons accessing the Services through your account will be treated as a violation by you.
1.2 External Matters
These Terms govern only the Services provided by StreamAudio (“we,” “us,” or “our”). Any external agreements, products, or arrangements not defined within these Terms fall outside our responsibility and are managed by the relevant parties involved.
2. Description of Services
2.1 Icecast and Shoutcast Hosting
StreamAudio provides hosting solutions for audio broadcasting through Icecast and Shoutcast servers (“Services”), enabling you to broadcast, manage, and distribute audio content online.
2.2 Free Trial
New users may be eligible for a 14-day free trial. We may terminate trial accounts at our discretion if deemed inactive or if they breach these Terms. If you wish to continue beyond the trial, you must select and pay for a subscription plan.
2.3 Paid Services
After the free trial (if applicable), you must purchase a paid subscription plan or hosting package (“Paid Services”). All relevant fees will be clearly disclosed at the time of purchase. By selecting a paid plan, you agree to pay all applicable charges as specified in these Terms.
3. Account Registration and Security
3.1 Account Creation
Certain features of the Services require you to create an account. When registering, you must provide accurate, current, and complete information. You also agree to maintain and promptly update your details.
3.2 Account Responsibility
You are fully responsible for keeping your login credentials confidential and for all actions taken under your account. We will not be liable for any loss or damage resulting from unauthorised access or misuse of your account. Notify us immediately if you suspect any unauthorised use.
3.3 Suspension and Termination of Accounts
We reserve the right to suspend or terminate your account if you breach these Terms or for any other valid reason, at our sole discretion. If your account is terminated, any data or content associated with it may be irreversibly deleted, and any fees paid prior to termination will typically not be refunded unless required by law.
4. Term of Service
4.1 Service Term
Your Service remains active as long as you comply with these Terms and keep all payments up to date. Should you default on any payments, we may suspend your account for a grace period (to be determined by us). Failure to remedy outstanding balances within this grace period may lead to permanent deletion of your account and data.
4.2 Termination by You
You may cancel the Services at any time by contacting our support team. You remain responsible for any charges incurred up to the date of cancellation.
5. Prices and Charges
5.1 Pricing Structure
Our Services may include access to third-party control panels or software. If your misuse of these tools causes StreamAudio to incur additional fees, we reserve the right to pass those costs on to you.
5.2 Pricing Changes
We reserve the right to modify pricing, subscription fees, or other costs at any time. We will provide notice via email of any changes. Continuing to use the Services after the effective date of new prices constitutes your acceptance of such changes.
6. Refunds
6.1 Refund Period
Unless otherwise specified, we generally offer a seven (7)-day refund window (a “cooling-off period”) from the date of your initial order for standard hosting packages. If you request a refund within this period, you may be eligible for a full reimbursement using the payment method originally used.
6.2 Limitations
Some add-on services (e.g., extra listener slots, custom ports, promotions) may be exempt from refunds. We also reserve the right to refuse a refund if you violate these Terms or engage in fraudulent behaviour.
6.3 Refusal of Refund
At our sole discretion, StreamAudio may deny a refund or waive the cooling-off period if we detect misuse, abuse, or any other compelling reason. All refund-related decisions made by us are final.
7. User Conduct and Content
7.1 User Content
You are exclusively responsible for the audio content (“User Content”) you broadcast via our Services. You must hold all required licences and permissions to distribute such content. Although we do not claim ownership of your User Content, by using our Services, you grant us a non-exclusive, global licence to store, host, and transmit your content to facilitate our Services.
7.2 Music Licensing
You must ensure you have all necessary music licensing arrangements (e.g., performance rights, mechanical licences) for every jurisdiction where your broadcasts can be accessed.
7.3 Prohibited Activities
You agree not to:
- Use the Services unlawfully, harmfully, or fraudulently.
- Broadcast or share content that incites hatred or violence, is criminal, racist, defamatory, obscene, infringing, or otherwise objectionable.
- Engage in actions that might disrupt or damage our network or those of other users.
- Break any local or international laws or regulations relevant to your broadcasting activities.
7.4 Monitoring and Enforcement
StreamAudio may monitor use of the Services and remove or disable access to content we believe breaches these Terms. Repeated or serious violations may result in suspension or termination of your account.
8. Bandwidth and Fair Usage Policy
8.1 Bandwidth Allocation
Each account has a set bandwidth allowance, which typically resets monthly on the 1st day. If you surpass your allowance, we may suspend your Service until it resets or you upgrade your plan.
8.2 ‘Unlimited’ Usage
Plans described as “unlimited” are still subject to our Fair Usage Policy. If your usage (e.g., high CPU, disk space, or network traffic) is deemed excessively high, we may restrict or suspend your account to maintain a stable environment for all users.
8.3 Fair Usage
Our Fair Usage Policy ensures equitable server performance. We may cap or limit your bandwidth, listener slots, or other resources if your usage repeatedly exceeds typical patterns. We also reserve the right to investigate possible misuse and take any necessary action, including suspension or termination.
8.4 Lawful Broadcasting
All broadcasts must comply with the law, including intellectual property and licensing requirements in the relevant jurisdictions. We cooperate with law enforcement when required, particularly concerning unlawful, hateful, or exploitative content.
9. Suspension and Termination
9.1 Suspension and Immediate Termination
StreamAudio may suspend or immediately terminate all or part of your account if:
- You breach these Terms.
- You fail to pay your fees.
- We suspect any form of fraud or misuse.
9.2 Data Deletion
If your account is terminated, your data – including all User Content – may be permanently deleted. StreamAudio is not liable for any losses resulting from data deletion.
9.3 Notification
Where feasible, we will attempt to notify you of impending suspension or termination, although we reserve the right to act without notice if necessary to protect our interests or those of our users.
10. Intellectual Property
10.1 StreamAudio Materials
All rights, titles, and interests in the Services – including software, trademarks, logos, service marks, and related content – belong to StreamAudio or our licensors and are safeguarded by applicable intellectual property laws.
10.2 Trademarks
“StreamAudio,” “StreamAudio.co,” and any associated marks are the property of StreamAudio. You do not have the right to use these marks without our prior written permission.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” STREAMAUDIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE SERVICES.
11.2 Service Reliability and Uptime Guarantee
We are committed to providing high-quality, uninterrupted audio streaming services. As part of this commitment, StreamAudio guarantees a 99.97% uptime for our hosting solutions. This means that over the course of a calendar month, the Services will be operational for the vast majority of the time.
Please note, this guarantee excludes:
- Scheduled maintenance windows, which will be communicated in advance whenever possible.
- Service interruptions caused by factors beyond our control, such as natural disasters, third-party network failures, or malicious attacks.
While we strive to minimise downtime, StreamAudio does not offer refunds or credits in relation to this uptime guarantee. However, we are always available to address any concerns or issues promptly via our support team.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, STREAMAUDIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR OPPORTUNITIES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES. IN NO EVENT SHALL STREAMAUDIO’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE PRECEDING TWELVE (12) MONTHS.
13. Indemnification
You agree to defend, indemnify, and hold harmless StreamAudio, its affiliates, officers, directors, employees, and agents from all third-party claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to:
- Your use of the Services;
- Your User Content;
- Any breach of these Terms;
- Any infringement of third-party rights.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction where StreamAudio has its principal office. Disputes arising out of or in relation to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless mandated otherwise by local law.
15. Modifications to These Terms
We reserve the right to modify or update these Terms at any time, at our sole discretion. In the event of material changes, we will notify you via email or by posting a notice on our website. Continued use of the Services after such changes implies your acceptance of the updated Terms.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy, form the entire agreement between you and StreamAudio, superseding any prior agreements relating to the Services.
16.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. StreamAudio may assign or transfer its rights under these Terms without restriction.
